Washington LLC Certificate of Amendment
After you have filed your Certificate of Formation with the Secretary of State, you can make amendments to the document by filing a Certificate of Amendment. Once the Certificate of Amendment is processed, the newly amended information will appear in the official record of your Washington LLC.
What Can’t Be Amended
There are two types of information that cannot be amended by filing a Certificate of Amendment:
- Governing persons
- Washington registered agent
You cannot amend the names of governing individuals on your Certificate of Information. You can change your Washington registered agent, but to do so you must file a Statement of Change.
WA LLC Certificate of Amendment

Name of LLC
You must list the name of your Washington LLC as it is currently recorded with the Secretary of State. If you are filing an amendment to change the name of your company, you must first list the name that is already registered.

Amendments to Certificate
This is the section where you list the amendments you wish to make. It is important to clearly list which article on your Certificate of Formation you are changing, what that article currently states, and what you wish to change it to. Be sure to be as clear as possible.

Effective Date of Amendment
You can have your amendments take effect either upon filing with the Secretary of State or on a specified later date. If you choose a later date, it cannot be any later than 90 days after submitting the Certificate of Amendment.

Executor
The executor must be an individual who has been authorized by the members of your LLC to prepare and submit the Certificate of Amendment.
Filing Fees
There is a $30 filing fee for submitting a Washington LLC Certificate of Amendment. You can expedite the filing by including an additional $50 for expedite processing.
If expediting your filing, please write “EXPEDITE” on the outside of the envelope you use to mail your filing.
